1. Acceptance of terms
By accessing or using glasgow.logicracks.co.uk (the “Website”) or by engaging Logic Racks Technologies Ltd (“Logic Racks”, “we”, “us”) for any service, you accept these Terms and Conditions in full. If you do not accept them, you must not use the Website or engage our services.
2. Website use
We grant you a limited, revocable, non-exclusive licence to access and view this Website for lawful, personal and business research purposes. You must not:
- Copy, redistribute or republish substantive parts of the Website without our written permission.
- Use the Website in any way that breaches applicable law, infringes any third party rights, or could damage our reputation.
- Attempt to gain unauthorised access to any part of the Website, our systems, or systems of any of our clients.
- Use automated systems (scrapers, bots, crawlers other than legitimate search engines) without prior written consent.
3. Intellectual property — Website content
All content on the Website — including text, graphics, logos, the Logic Racks diamond mark, product names, designs and code — is owned by or licensed to Logic Racks and protected by UK and international copyright, trademark and design rights.
4. Services and engagement letters
Our services (custom software development, AI systems, SaaS engagements, automation, growth marketing, productised SaaS products etc.) are governed by separate written engagement letters or master services agreements (MSAs). The terms of those engagement letters take precedence over these Website Terms where they conflict.
4.1 Quotes and proposals
Quotes are valid for 30 days unless otherwise stated. No contract is formed until both parties sign an engagement letter.
4.2 Payment terms (default)
Unless agreed otherwise in writing: invoices are payable within 14 days of issue. Late payments accrue interest at the rate set by the Late Payment of Commercial Debts (Interest) Act 1998 plus the statutory recovery fee.
4.3 Intellectual property — client work
On full payment, intellectual property in bespoke deliverables transfers to the client. Logic Racks retains rights in its underlying tools, libraries, frameworks and methodologies, which we license to you on a perpetual, royalty-free basis as needed to use the deliverables.
5. Productised SaaS products
Our 20+ productised SaaS products (Restaurant POS, Hospital System, LMS Platform etc.) are licensed on a subscription basis under separate Product Terms supplied at the point of subscription. White-label deployments are governed by a Master Licence Agreement.
6. Confidentiality
Both parties will treat information shared during engagements as confidential and use it only for the purpose of the engagement. Confidentiality survives termination indefinitely for trade secrets and for 3 years for other confidential information.
7. Warranties and disclaimers
We provide our services with reasonable skill and care in accordance with industry best practice. Save as expressly set out in your engagement letter:
- The Website is provided “as is” without warranties of any kind, express or implied.
- We make no warranty that the Website will be uninterrupted, error-free or free of viruses.
- Any reliance on Website content is at your own risk.
8. Limitation of liability
Nothing in these Terms limits or excludes liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Any other liability that cannot be excluded under UK law.
Subject to that, our total liability arising from your use of the Website or any free resources is limited to £100. Liability under paid engagements is capped at the fees paid in the 12 months preceding the claim, as set out in the relevant engagement letter.
9. Governing law and jurisdiction
These Terms and any dispute arising from them are governed by the law of Scotland. The Scottish courts have exclusive jurisdiction, except that we may bring proceedings in any jurisdiction where you operate.
10. Changes to these terms
We may update these Terms from time to time. The current version is always available at this URL. Continued use of the Website constitutes acceptance of the latest version.
